ProviaRx reserves the right, in its sole discretion, to amend these Terms at any time and for any reason. Active subscribers will receive 30 days' email notice of material changes. Your continued use of the Platform after amended Terms are posted constitutes acceptance of those changes. If any provision is unacceptable to you, your sole remedy is to discontinue use of the Platform.
ProviaRx does NOT provide any Healthcare Services through the Platform and is NOT licensed to practice medicine. ProviaRx does not control or interfere with the provision of Healthcare Services by medical providers and affiliated professional entities, each of whom is independent and solely responsible for their services. ProviaRx is not responsible for Healthcare Services, or your use of any Healthcare Services provided by a medical provider or affiliated professional entity, including any personal injury or property damage.

Satisfying these requirements does not guarantee receipt of Services. Medical providers may, on a case-by-case basis, determine that Services are not appropriate for a particular user. The Platform may not be accessible at any time, for any period, or for any reason, and ProviaRx will not be liable if, for any reason, all or any part of the Platform is unavailable at any time or for any period. ProviaRx shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Platform.

Subject to your compliance with these Terms, ProviaRx grants you a personal, limited, revocable, nonexclusive, and non-transferable license to access and use the Platform solely for your personal, non-commercial use. The Platform is structured for use with specific non-emergency health conditions and is NOT comprehensive medical advice, care, diagnosis, or treatment. Always seek advice from your physician or other qualified healthcare provider regarding personal health, medical conditions, or medications, and before commencing or discontinuing any treatment, drug, or medication. ProviaRx is a patient management platform that works with independent physicians. ProviaRx does not directly provide medical or pharmacy services, and payment does not guarantee the writing or dispensing of a prescription.
When you submit information for Healthcare Services, you agree to pay all fees due. By entering payment information and submitting your request, you authorize ProviaRx, its affiliates, or third-party payment processors (including Stripe) to charge the amount due. The following apply:

ProviaRx is the sole and exclusive owner of all right, title, and interest in and to the Platform and its content, features, and functionality, including all intellectual property rights. Any copy, modification, adaptation, or derivative work of the Platform is owned solely by ProviaRx or its licensors. Certain names, logos, and materials displayed on the Platform may constitute trademarks of ProviaRx. You are not authorized to use any such trademarks without express written permission.
The Platform may contain hyperlinks to third-party websites not under our control. ProviaRx is not responsible for the information, products, or services on linked sites and does not endorse them. Your use of third-party sites is at your own risk. ProviaRx is not liable for any content, errors, damage, or loss caused by third-party sites.

You agree to indemnify, defend, and hold harmless ProviaRx, LLC and its officers, directors, employees, affiliates, agents, licensors, and suppliers from and against any and all third-party claims, demands, liabilities, costs, or expenses, including reasonable attorneys' fees, arising from or related to: (i) any breach by you of these Terms; (ii) your use of the Platform in an unauthorized manner; (iii) your provision of false or inaccurate health information; (iv) a violation by you of any applicable law or regulation; or (v) any claim by a third party arising from your conduct on or through the Platform.
These Terms remain in full force while you access or use the Platform. You may terminate at any time by discontinuing use. ProviaRx may terminate or suspend your access with or without prior notice, at any time, for any reason. Following termination, ProviaRx has no further obligation to provide Services, except as required by applicable legal, ethical, and professional obligations, including access to your health records.
ProviaRx complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Platform infringes your copyright, submit a notification to legal@proviarx.com including: (1) electronic or physical signature of the authorized copyright owner; (2) identification of the copyrighted work; (3) identification of the infringing content and its location on the Platform; (4) your contact information; (5) a statement of good-faith belief that use is not authorized; and (6) a signed statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized agent.
You and ProviaRx agree that any dispute or claim arising out of or relating to these Terms, your use of the Platform, or any Services (a "Dispute") will be resolved by binding arbitration rather than in court. This includes claims arising before or after the effectiveness of this Agreement.
This Arbitration Clause does not require arbitration of: (1) small claims court actions where requirements are met on an individual basis; and (2) claims pertaining to intellectual property rights, including trademarks, trade dress, domain names, trade secrets, copyrights, and patents.
Before initiating arbitration, you agree to send an individualized Pre-Arbitration Demand to legal@proviarx.com so that the parties may attempt to resolve the Dispute informally. If not resolved within sixty (60) calendar days, either party may commence arbitration.
You may reject this Arbitration Clause by sending an email to legal@proviarx.com within thirty (30) calendar days of first accepting these Terms. Your opt-out notice must include your full name, address, account email address, and a clear statement that you decline arbitration. No one may opt out on another person's behalf.
Arbitration will be administered by National Arbitration and Mediation ("NAM") under its Comprehensive Dispute Resolution Rules, before a single arbitrator. The Federal Arbitration Act ("FAA") governs this clause. If NAM is unavailable, parties will select an alternative provider or ask a court of competent jurisdiction to appoint an arbitrator pursuant to 9 U.S.C. § 5. Arbitration may be conducted remotely at the election of either party.
YOU AND PROVIARX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION. THE PARTIES EXPRESSLY WAIVE ALL RIGHTS TO HAVE ANY DISPUTE HEARD, ADMINISTERED, OR RESOLVED ON A CLASS OR REPRESENTATIVE BASIS.
25 or more arbitration demands of a substantially similar nature filed within a 180-day period constitute a "Mass Filing" and will be administered in batches of 25 demands per batch, with one batch filed, processed, and adjudicated at a time. Fees associated with demands in a Mass Filing are only due after the demand is included in a properly designated batch.
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any claims not subject to arbitration shall be brought exclusively in courts of competent jurisdiction in Texas.
These Terms set forth the entire understanding between you and ProviaRx regarding the subject matter herein. If any provision is found invalid by a court of competent jurisdiction, that provision will be modified to achieve the closest possible intent, and remaining provisions will remain in full force. ProviaRx's failure to enforce any Term does not waive its right to do so in the future. You may not assign your rights or obligations under these Terms without prior written consent from ProviaRx.

Telehealth uses electronic communications, information technology, and other means to connect patients in one location and licensed healthcare professionals in another location regarding a clinical matter. Telehealth may include live two-way audio/video interaction, asynchronous store-and-forward technologies (such as reviewing submitted health information), and remote patient monitoring.
As with any medical procedure, telehealth carries potential risks, including but not limited to:
Per the Texas Medical Board, telehealth is permitted for both new and established patients. Written informed consent is required before each telehealth encounter. Prescribing for controlled substances (including testosterone) follows both Texas Medical Board and federal DEA guidelines. Certain medications may require an in-person examination.

ProviaRx executes HIPAA-compliant Business Associate Agreements with all technology vendors, physician network partners, pharmacy partners, and other service providers who access, store, or transmit patient PHI. BAAs are executed with all technology vendors and service providers who access, store, or transmit patient PHI, including our cloud hosting provider and Stripe (payment processing).
ProviaRx complies with the Texas Medical Records Privacy Act, which provides Texas patients with rights that exceed federal HIPAA minimums, including:
ProviaRx never sells, rents, or shares your PHI or personal health data for marketing, advertising, or any commercial purpose without your explicit written consent. Your health information is used solely to facilitate your care as described in this notice.
In the event of a breach of unsecured PHI, ProviaRx will notify affected individuals within 60 days as required by HIPAA, and within the timeframes required by the Texas Health & Safety Code (HB 4390) for breaches affecting Texas residents.

ProviaRx offers monthly subscription plans. By enrolling, you authorize recurring monthly charges to your payment method on file. Your first charge occurs at enrollment and subsequent charges occur on the same calendar day each month until you cancel.
You may cancel your subscription at any time by emailing care@proviarx.com. Cancellations must be submitted at least 24 hours before your next billing date to avoid being charged for the upcoming month. Cancellation takes effect at the end of your current paid billing period — you retain access to the Platform until that date.
ProviaRx reserves the right to change subscription pricing. Active subscribers will receive 30 days' email notice before any price change takes effect. Continued use after the effective date constitutes acceptance of the new pricing.
ProviaRx does not bill health insurance, Medicare, Medicaid, or any government health program. All services are cash-pay only. You may submit claims to your insurer independently for potential out-of-network reimbursement, but ProviaRx makes no representation as to coverage.
