The terms governing your use of the ProviaRx platform

Please read these Terms carefully. By accessing or using the ProviaRx platform, submitting a health assessment, or activating a subscription, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Patient," or "you") and Saha Services LLC, doing business as ProviaRx ("ProviaRx," "we," "us," or "our"), a Texas limited liability company.

By using the ProviaRx platform at proviarx.com, submitting a health assessment, or activating a subscription, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, our HIPAA Notice of Privacy Practices, and our Medical Consent.

2. Platform Description

ProviaRx is a telehealth technology and administrative services platform that connects patients with independent licensed healthcare providers and independent licensed compounding pharmacies. ProviaRx is NOT a medical provider, pharmacy, or healthcare facility.

ProviaRx does NOT:

All prescribing decisions are made exclusively by independent licensed healthcare providers. All medications are dispensed by independent state-licensed compounding pharmacies. Your healthcare relationship is with those independent providers, not with ProviaRx.

ProviaRx provides the following services through its platform:

Service Limitations

ProviaRx is not an emergency medical service. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Do not use this platform for emergency medical situations.

ProviaRx is an asynchronous telehealth platform. You will not interact with a physician in real time through this platform unless required by your state's telehealth laws, in which case the independent physician will arrange a live video consultation.

5. Medical Disclaimer

Important: The content on proviarx.com, including all educational material, symptom descriptions, and program information, is provided for informational purposes only and does not constitute medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider for medical decisions.

Submission of a health assessment does not guarantee that a prescription will be issued. The independent licensed physician reviews each assessment on its clinical merits and may decline to prescribe for any clinically appropriate reason. ProviaRx has no influence over physician prescribing decisions.

Individual results from GLP-1 therapy, testosterone therapy, or any other treatment facilitated through the platform vary significantly and are not guaranteed. Clinical statistics referenced on the platform are from peer-reviewed studies of FDA-approved therapies and may not reflect results achievable with compounded medications.

Compounded Medications

Medications that may be prescribed through this platform are compounded medications. They are NOT FDA-approved. They are not the same as commercially manufactured brand-name medications. By using this platform, you acknowledge you have reviewed and accepted the Medical Consent disclosures regarding compounded medication risks.

You are responsible for providing accurate, current, and complete information in your health assessment and account profile. You agree to:

7. Payment & Billing

When You Are Charged

A program fee is charged when you submit your health assessment and activate a subscription. This fee covers physician review, and if approved, medication and ongoing care coordination for the billing period.

Refunds

If an independent physician determines that treatment is not clinically appropriate for you, you will receive a full refund of your program fee within 5โ€“10 business days. For full details on refund eligibility, see our Refund & Cancellation Policy.

Subscriptions

Programs are billed monthly on a subscription basis. You may cancel at any time by emailing care@proviarx.com. Cancellation stops future billing immediately. No retroactive refunds are issued for prior months where medications were dispensed and shipped.

Payment Processing

All payments are processed by Stripe, Inc. ProviaRx does not store your credit card or payment information. By making a payment, you agree to Stripe's terms of service.

HSA/FSA

Some program fees may be eligible for payment using HSA/FSA funds. Eligibility depends on your plan administrator's policies. ProviaRx makes no representation about HSA/FSA eligibility for specific treatments. Confirm with your plan administrator before using HSA/FSA funds.

8. Health Information & Privacy

Your use of the ProviaRx platform involves the collection and use of Protected Health Information (PHI) as defined under HIPAA. By using the platform, you authorize ProviaRx to handle your PHI as described in our HIPAA Notice of Privacy Practices and Privacy Policy.

Your health information is transmitted to independent licensed physicians for clinical review and, if a prescription is issued, to independent licensed compounding pharmacies for fulfillment. This transmission is necessary to provide the services you have requested.

We do not sell your health information. We do not use your health information for advertising or marketing purposes.

You agree not to:

Violation of these prohibitions may result in immediate termination of your account and, where applicable, referral to law enforcement authorities.

10. Intellectual Property

All content on the ProviaRx platform โ€” including text, design, graphics, logos, and software โ€” is the property of Saha Services LLC or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the platform for personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works from any platform content without express written permission from ProviaRx.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROVIARX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY HEALTHCARE SERVICES OBTAINED THROUGH THE PLATFORM.

PROVIARX'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO PROVIARX IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

ProviaRx is a technology platform. We are not liable for the clinical decisions, actions, or omissions of independent licensed physicians or pharmacies who provide services through the platform. Those providers are solely responsible for their professional services.

Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.

12. Termination

You may terminate your use of the platform at any time by cancelling your subscription and ceasing to use the service.

ProviaRx may suspend or terminate your access to the platform at any time, with or without notice, if we reasonably believe you have violated these Terms, provided false health information, or engaged in fraudulent activity. In the event of termination for cause, no refund will be issued for the current billing period.

Upon termination, your right to use the platform ceases immediately. Health records will be retained as required by applicable law regardless of termination.

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

Informal Resolution

Before initiating any formal dispute, you agree to contact us at legal@proviarx.com to attempt informal resolution. Most concerns are resolved within 1โ€“2 business days.

Arbitration

Any dispute arising out of or relating to these Terms or your use of the platform that cannot be resolved informally shall be resolved by binding arbitration in accordance with the American Arbitration Association (AAA) Consumer Arbitration Rules. Arbitration shall take place in Dallas County, Texas. You waive any right to a jury trial or to participate in a class action lawsuit.

Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to protect confidential information.

14. Changes to These Terms

ProviaRx reserves the right to modify these Terms at any time. We will notify active subscribers of material changes via email at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
